General Legal

·         Drafting and reviewing a variety of contracts including procurement contracts, consulting agreements, NDAs, exploration, joint venture contracts.

·         Providing effective identification and mitigation of key business legal risks.

·         Interacting with and manage external counsel.

·         Assisting external counsel with discovery and other needs in any litigation matters for the company.

·         Working closely with internal departments to help ensure legal compliance in a variety of areas.

·         Keeping current on legislative issues, statutes, decisions and ordinances of quasi-judicial bodies.

·         Performing other assigned duties as may be required in meeting company objectives.

Company Secretarial

·         Ensuring the necessary corporate registers are established and properly maintained.

·         Ensuring records of members’ and directors’ meetings are kept in compliance with regulations and company constitution.

·         Understanding and ensuring the local companies comply with their statutory obligations.

·         Supporting corporate governance matters and record keeping functions as needed.

Experience:

·         The ideal candidate will have over 5 years of experience in a law firm, and possess the ability to work independently and as part of a team. Prior in-house experience will give the candidate significant advantage.

·         Outstanding negotiating, communication, drafting, and writing skills, including the ability to communicate effectively with internal and external stakeholders.

·         Must have extensive experience negotiating and drafting a wide variety of contracts.

·         The ability to spot key legal issues and identify potential risk mitigation across a range of subject matters.

·         Experience or familiarity with the resources industry is a plus.

·         Some travel may be required from time to time.

 

Education, Qualifications:

·         Juris Doctorate from an ABA accredited law school

·         An active license to practice law in South Carolina (or have the ability to acquire such license)
