This main purpose of this role will be to deliver high-quality, timely legal support to a wide range of corporate functions, provide company secretariat and corporate governance support, and bring a performance-driven, results-focused mindset to help the company achieve its objectives.
Some key accountabilities will include:
- Provide legal support for continuous disclosure obligations, regulatory filings, and compliance documentation.
- Proactively identify legal and governance issues, developing effective strategies and practical solutions.
- Coordinate board meetings, including agendas, meeting materials, and minutes, while staying updated on emerging legal and governance trends.
- Prioritise and manage multiple projects, collaborating effectively with senior stakeholders to deliver high-performance outcomes.
- Manage external counsel and relationships with key stakeholders, ensuring quality and cost-effectiveness in service delivery.
Key qualifications and experience include:
- At least 8 years of post-qualification experience, with a strong background in public company secretariat work.
- Expertise in Canadian corporate and securities laws and corporate governance practices.
- Proficiency in preparing public disclosure documents, negotiating and drafting commercial contracts, and managing transactions.
- Strong communication, influencing, and negotiation skills, along with experience in conflict resolution.
- Results-driven with a practical, outcome-focused approach.
- Exceptional organisational and time management skills, with keen attention to detail.
- Ability to work autonomously while effectively managing competing priorities.
- Strong commitment to maintaining confidentiality and exercising discretion.
- A J.D./LL.B. and the license to practice law in British Columbia or another Canadian jurisdiction.
- Experience in private practice (mining focus) or in-house experience in the mining or heavy industry is highly regarded.

The annual salary range for this position is $185,000 - $240,000. This range is a guide and final compensation for this position will be determined based on the candidate's unique skills, expertise, individual qualifications, and assessed contributions to the role following the completion of the interview process.
